Agreement

By accessing or using CoverHolder.io ("Site," "Service"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Service. We may update these Terms; the "Last updated" date above will change, and continued use after changes become effective constitutes acceptance of the revised Terms.

The Service

CoverHolder.io provides independent marketplace research, directory listings, comparisons, and related workflows for organizations evaluating P&C insurance technology. The Service is intended for business and professional use. We may modify, suspend, or discontinue features with reasonable notice where practicable.

Accounts, listings, and vendor content

Vendors may submit listings, claim listings, or upgrade plans subject to our verification and fraud-prevention processes. You are responsible for maintaining accurate account information and for all activity under your account. By submitting content (including descriptions, logos, URLs, and metadata), you represent that you have the rights to provide it and you grant us a non-exclusive, worldwide license to host, display, reproduce, and distribute that content on the Service and in promotional materials related to the Service, in each case as reasonably necessary to operate and improve the directory.

You must not submit misleading, infringing, or unlawful material. We may remove or refuse content that violates these Terms or creates risk for buyers or the platform. Editorial and comparison treatment is described in our editorial and data policy; paid visibility is disclosed in our sponsored placement policy.

Acceptable use

You agree not to:

  • Use the Service in violation of law or third-party rights.
  • Attempt to gain unauthorized access to systems, accounts, or data (including probing, scraping behind auth, or credential stuffing).
  • Overload or disrupt the Service, circumvent rate limits, or interfere with other users.
  • Use automated means to extract bulk directory data without our prior written consent.
  • Reverse engineer non-public aspects of the Service except where applicable law forbids this restriction.
  • Misrepresent affiliation with any person or entity, or impersonate CoverHolder.io staff.

Third-party sites and vendors

The Service may link to vendor websites and third-party resources. We do not control those sites. Your dealings with vendors and third parties are solely between you and them. Listings and comparisons are not endorsements, guarantees of fit, or certifications.

Intellectual property

The Service, including editorial content, layouts, trademarks, and non-vendor data compilations, is owned by CoverHolder.io or its licensors and is protected by intellectual property laws. Except for the limited license to vendor-submitted content above, we do not grant you ownership rights in our materials. You may not copy, modify, or distribute our proprietary content except as allowed by law or with our written permission.

Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. RESEARCH, MATRICES, AND ARTICLES ARE INFORMATIONAL; THEY ARE NOT A SUBSTITUTE FOR YOUR OWN DILIGENCE, PILOTS, SECURITY REVIEWS, OR LEGAL AND PROCUREMENT ADVICE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERHOLDER.IO AND ITS OPERATORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnity

You will defend, indemnify, and hold harmless CoverHolder.io and its operators, affiliates, and personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

Billing

Paid features may be processed by our payment provider (for example Stripe). Fees, renewals, taxes, and cancellation are governed by the checkout terms presented at purchase and the provider's policies. If fees are not paid when due, we may downgrade or suspend paid features.

Termination

You may stop using the Service at any time. We may suspend or terminate access for conduct that violates these Terms, creates risk, or for operational reasons with notice where reasonable. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

Privacy

Our collection and use of personal information is described in our privacy policy.

General

These Terms are governed by the laws of the United States and the U.S. state where CoverHolder.io's operator is organized, without regard to conflict-of-law rules that would apply another jurisdiction's laws, except where mandatory consumer protections where you live require otherwise. For disputes arising from these Terms or the Service, you and we consent to the personal jurisdiction and venue of the state and federal courts located in that state, subject to applicable law. If a provision is unenforceable, the remaining provisions remain in effect. These Terms, together with policies linked here, are the entire agreement regarding the Service and supersede prior oral or written understandings on the same subject.
